The following terms and conditions ("Terms") are applicable to the My Pin Cash Vendor program, which allows Vendors to earn cash from redemptions of My Pin Cash from My Pin Cash Contributors. These terms are subject to the other agreements you entered into with My Pin Central I Inc. ("My Pin Central", "Company", "we", "us", or "our"), including without limitation the Terms and Conditions and all associated policies (collectively with these Terms the "My Pin Terms"). YOU ARE RESPONSIBLE FOR READING AND UNDERSTANDING THE MY PIN CASH VENDOR TERMS AND ANY AND ALL OTHER COMMUNICATIONS FROM US TO YOU ABOUT THE MY PIN CASH PROGRAM. Your continued use of and participation in the My Pin Cash program will constitute your agreement to and acceptance of these Terms and any updates of these Terms.
For purposes of these Terms, you are the “Vendor.” The My Pin Cash Vendor scheme is the "Vendor Program".
By participating in the Vendor Program, Vendor agrees to be bound by this Agreement. To participate in the program, Vendor must be over the age of 18 and agree to this Agreement, in addition all other My Pin Terms. My Pin Cash may be used by My Pin Cash Contributors (as defined in that certain My Pin Cash Terms) to obtain cash-equivalent vouchers for selected pin sellers, known as My Pin Cash Vendors. The Vendor program allows customers of My Pin Central's My Pin Cash program to convert points earned in that scheme into spendable cash-equivalent vouchers with the Vendor. In return, the Vendor consents to allow My Pin Central to use images, descriptive content, and information from the Vendor's active website, eBay shop, social media feed, or online sales presences for the purpose of enhancing the quantity and quality of listings in the My Pin Central database.
Vendors retain ownership and editorial control of all of their content. Vendor grants My Pin Central a non-exclusive, perpetual, royalty-free, worldwide license to use, reproduce, and distribute the content.
My Pin Central will assist the Vendor to create up to ten vouchers of different values or offers to display to users. When a Vendor creates a voucher, a record of the voucher will be lodged in the Vendor's dashboard. Vouchers are cash-equivalent. Vendor will be diligent to verify the voucher's authenticity using the Vendor Admin dashboard before providing discounts to users as only validated vouchers can be paid. The vendor agrees to notify My Pin Central when a user has redeemed each voucher, by marking the voucher redeemed in the dashboard.
Vendor will also be granted free access to the chargeable services of My Pin Central, including Unlimited selling privileges and free sold listing valuations.
Payments: My Pin Central will create self-billing invoices on at least a monthly basis showing the total of redeemed vouchers and an amount to be paid to the Vendor. Payments will be made within 7 days by an agreed method. Payment shall be made by My Pin Central to the payment provider of Vendor’s choice. It is up to the Vendor to maintain an account in good standing with a payment provider such as Paypal, Zelle, Venmo to receive such payments as they become due.
Taxes: If the value of your My Pin Cash redemptions, together with any other taxable miscellaneous income you receive form us, exceeds $600 or more for a calendar year, My Pin Central may be required to send you a Form 1099-MISC for that year and submit such form to the IRS. You are responsible for determining any personal tax liability arising from participation in the My Pin Cash Program.
The Vendor can terminate this agreement at any time and withdraw their voucher offers, provided however Vendor must honor any redeemed vouchers prior to termination. . Any content used by My Pin Central in its database at that time retains its license to use, reproduce, or distribute.
Participation in the Vendor program is entirely at the Vendor's own risk. My Pin Central shall only be liable for amounts payable against vouchers redeemed by that Vendor up to the point of termination of the agreement.
Vendors agree to indemnify and hold My Pin Central harmless from any claims or damages arising out of their participation in the Vendor scheme.
My Pin Central may modify these Terms and Use at any time, and vendors are responsible for reviewing them periodically.
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which My Pin Central is located, without giving effect to any choice of law or conflict of law provisions. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the federal or state courts located in Delaware and the parties hereby consent to personal jurisdiction and venue therein.
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, representations, and understandings, whether written or oral, relating to such subject matter.
